1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the capital underwriting portal at portal.magnaraglobal.com (the "Portal"), operated by [Magnara Global Capital LLC] ("Magnara Global," "we," or "us"). By accessing the Portal or submitting information through it, you agree to be bound by these Terms and by our Privacy Policy and Disclosures, each of which is incorporated by reference. If you do not agree, you may not use the Portal.

2. Eligibility

You represent and warrant that you are:

At least 18 years of age and legally able to enter into binding contracts;
Authorized to submit the information you provide, whether on your own behalf or on behalf of a business entity;
Located in a jurisdiction where the services we facilitate are lawfully available.

3. Nature of services

Magnara Global is a capital advisory and SPV-structuring firm. We are not a direct lender, broker-dealer, investment adviser, or depository institution. The Portal allows you to submit an application for the purpose of being considered by one or more licensed third-party lending partners. Any financing, if issued, is originated, funded, and serviced by those partners under their own agreements and disclosures.

No commitment to lend Submission of an application through the Portal does not create a lending relationship, does not obligate any party to extend credit, and does not constitute a loan offer. Lending decisions, pricing, and final terms are determined by third-party lenders in their sole discretion and are subject to their underwriting criteria and applicable law.

4. Accuracy of information

You agree that all information you submit through the Portal is true, accurate, current, and complete to the best of your knowledge. You authorize Magnara Global and its lending partners to verify any information you provide, including through third-party credit, identity, and fraud-detection services. Providing materially false, misleading, or incomplete information may result in denial of your application, termination of your access, referral to law enforcement, and civil or criminal penalties.

5. Soft pre-approval disclaimer

Any estimate, pre-approval indication, interest-rate range, factor-rate range, or valuation displayed on the Portal is a soft, non-binding estimate generated from the information you supply and published market averages. It is not a commitment to lend, an appraisal, a quotation, a rate lock, or a guarantee of any term. Actual rates, fees, and terms are determined by the funding lender after full underwriting and may differ materially from any estimate shown.

6. Fees & compensation

Use of the Portal is free for applicants. Magnara Global may receive compensation from lending partners when a facility closes, and any such compensation is paid by the lender, not deducted from loan proceeds, unless expressly disclosed in the lender's own closing documents. Third-party fees (appraisals, title, filing, legal) may apply as disclosed in each lender's agreement.

7. Intellectual property

The Portal, including its design, text, graphics, logos, and underwriting methodology, is the property of Magnara Global or its licensors and is protected by copyright, trademark, and other intellectual-property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Portal solely for the purpose of submitting an application. You may not copy, modify, reverse-engineer, or distribute any portion of the Portal without prior written consent.

8. Prohibited conduct

You agree not to:

Submit information belonging to another person without authorization;
Impersonate any person or misrepresent your affiliation with any entity;
Interfere with, probe, or circumvent the security of the Portal;
Use automated systems (bots, scrapers, scripts) to access or submit to the Portal without written consent;
Upload malicious code, malware, or content intended to disrupt the Portal;
Use the Portal to facilitate money laundering, fraud, terrorist financing, or any other unlawful activity.

9. Disclaimer of warranties

THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNARA GLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OPERATION, AND SECURITY. WE DO NOT WARRANT THAT THE PORTAL WILL BE ERROR-FREE OR THAT ANY INFORMATION OBTAINED THROUGH IT WILL BE ACCURATE OR RELIABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAGNARA GLOBAL, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to indemnify and hold harmless Magnara Global and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Portal, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Portal at any time, with or without notice, for any reason, including suspected fraud, inaccurate information, or violation of these Terms. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

13. Governing law & disputes

These Terms are governed by the laws of the State of [Delaware], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Portal shall be resolved by binding arbitration administered by [the American Arbitration Association] under its Commercial Arbitration Rules, conducted in [New York, NY], in English, by one arbitrator. You and Magnara Global each waive the right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

14. Miscellaneous

These Terms, together with the Privacy Policy and Disclosures, constitute the entire agreement between you and Magnara Global regarding the Portal. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Section headings are for convenience only. We may update these Terms from time to time; material changes will be reflected in the "Effective" date above.
